For use with approved business-to-business travel partners only.
IMPORTANT NOTICE
These Terms are drafted for a B2B travel distribution platform operating under the Trivnix brand and are intended to be governed by Egyptian law. Final publication should be reviewed by Egyptian-qualified legal counsel and completed with the correct Trivnix legal entity details.
These Terms and Conditions govern access to and use of the Trivnix website, booking platform, API, XML/API connections, white-label solutions, mobile applications and any other booking or travel technology services operated under the Trivnix brand.
For the purposes of these Terms, “Trivnix”, “we”, “us”, “our” or “Provider” means the legal entity operating the Trivnix platform.
These services are intended exclusively for authorized travel agencies, tour operators, corporate customers, online travel agencies and other approved business-to-business customers (“B2B Partner”, “Customer”, “you” or “your”).
By registering for an account, accessing the platform, connecting through an API, making a booking, issuing a voucher or otherwise using Trivnix services, the Customer confirms that it has read, understood and agreed to be legally bound by these Terms and Conditions.
No person under the age of eighteen (18) may register for or transact through the Trivnix platform.
Customers must provide complete, true, accurate and current business information during registration.
Trivnix may request corporate documents, commercial registration information, tax information, identification documents, travel-industry licenses, bank information or other documentation necessary for compliance, account verification, fraud prevention or credit assessment.
Trivnix reserves the right, at its reasonable discretion, to approve, decline, suspend or terminate an account where:
● information supplied is inaccurate or misleading;
● fraudulent or suspicious activity is detected;
● payments become overdue;
● the Customer breaches these Terms;
● use of the platform creates financial, regulatory, reputational or operational risk to Trivnix; or
● such action is required by law or a competent authority.
Customers are responsible for keeping usernames, passwords, API credentials and other access credentials confidential.
Any transaction completed through a Customer’s authorized account or API credentials shall be deemed to have been authorized by that Customer unless Trivnix has been notified of unauthorized access.
A search result, quotation, availability display or price displayed through Trivnix does not constitute a confirmed booking.
A booking becomes confirmed only when Trivnix issues a confirmed booking status, confirmation number, voucher, ticket or other written confirmation through the platform or an authorized electronic communication.
Bookings displaying statuses including Failed, Pending, Rejected, Cancelled or Not Booked shall not constitute confirmed reservations unless subsequently confirmed in writing by Trivnix.
The Customer must verify all booking information immediately upon confirmation.
Trivnix may provide access to travel products including, without limitation:
● hotels and accommodation;
● airline tickets;
● transfers;
● car rental;
● tours and activities;
● travel packages;
● events;
● excursions;
● cruises;
● insurance where legally permitted;
● destination services; and
● other travel-related products.
Unless expressly stated otherwise, Trivnix operates as a B2B travel distributor, wholesaler, consolidator and reservation platform.
The actual travel service may be performed by an independent hotel, airline, transport company, destination management company, tour operator or other third-party supplier.
The B2B Partner shall provide its end customers with complete and accurate information relating to their reservation.
This includes, where applicable:
● services included and excluded;
● cancellation conditions;
● amendment conditions;
● no-show conditions;
● check-in and check-out requirements;
● passport and visa requirements;
● baggage restrictions;
● hotel policies;
● mandatory local charges;
● resort or destination fees;
● tourist or city taxes;
● security deposits; and
● supplier-specific terms.
The Customer is responsible for entering correct traveller names, dates, passport details, nationality information, room occupancy and other booking information.
Any cost resulting from incorrect information supplied by the Customer or traveller shall be borne by the Customer unless the error was directly caused by Trivnix.
Customers must notify Trivnix through the available booking communication channel of any expected late arrival.
Failure to notify a hotel or supplier of a late arrival may result in the reservation being treated as a no-show and may result in cancellation without refund.
Early check-in requests are subject to availability and remain entirely at the discretion of the hotel.
Additional fees may be charged directly by the hotel for early check-in, late check-out, room upgrades or similar services.
Unless expressly stated otherwise, prices displayed through the Trivnix B2B platform or API are net B2B rates.
Certain charges may not be included in the booking price, including:
● city taxes;
● tourist taxes;
● destination fees;
● resort fees;
● environmental fees;
● municipality charges;
● security deposits;
● utility fees; and
● other locally imposed charges.
Such charges may be collected directly from the traveller by the hotel, supplier or competent authority.
Trivnix shall not be responsible for changes to government taxes, hotel fees or mandatory local charges introduced or modified after the booking date.
The Customer must pay each reservation in accordance with the payment terms displayed on the platform, invoice, statement or commercial agreement applicable to its account.
Depending upon the Customer’s approved payment arrangement, Trivnix may permit:
● prepaid wallet payments;
● bank transfers;
● credit or debit card payments;
● credit facilities;
● periodic statements; or
● other approved payment arrangements.
Where prepayment is required, cleared funds must reach Trivnix before the applicable payment deadline.
Trivnix reserves the right to cancel unpaid reservations where payment has not been received by the stated deadline.
Card payments may only be made using cards approved or accepted by Trivnix and its appointed payment-service providers.
By submitting card information or proceeding through an authorized payment gateway, the Customer represents that it is the lawful cardholder or has obtained valid authorization from the lawful cardholder.
The Customer authorizes Trivnix and its payment-service provider to debit the amount applicable to the relevant transaction.
Card transactions may be processed through PCI DSS-compliant payment infrastructure.
Trivnix may conduct verification procedures or request supporting documents where a payment is suspected of being fraudulent or unauthorized.
Failure to provide reasonably requested verification information may result in suspension or cancellation of the relevant reservation.
Where the booking currency differs from the card or bank-account currency, the issuing bank or payment provider may apply its own currency-conversion rate and charges.
Trivnix shall not be responsible for exchange-rate differences or fees imposed independently by banks, card issuers or payment processors.
Customers must not initiate improper or unjustified chargebacks for valid reservations or services that have been properly confirmed, supplied, utilized or become non-refundable.
Where Trivnix suffers losses resulting from an unauthorized or unjustified chargeback attributable to the Customer, the Customer may be responsible for the amount of the transaction together with reasonable bank fees, processing charges and associated recovery costs, subject to applicable Egyptian law.
Nothing in this clause shall prevent a Customer from exercising rights that cannot legally be excluded under applicable law.
Approved refunds may be:
● returned to the original payment method;
● credited to the Customer’s Trivnix wallet;
● credited against outstanding balances; or
● handled according to the applicable commercial agreement.
Refund processing remains subject to the applicable supplier rules, payment method and contractual arrangement.
The Customer and traveller are solely responsible for confirming all travel-document requirements, including:
● passports;
● visas;
● transit visas;
● health certificates;
● entry permits;
● vaccination requirements; and
● destination-specific immigration conditions.
Travellers should verify requirements through the relevant embassy, consulate, immigration authority, airline, IATA source or governmental authority before travel.
Trivnix shall not be responsible for losses caused by failure to obtain appropriate travel documentation.
All accommodation bookings remain subject to the terms, availability, cancellation rules and operating policies of the applicable accommodation provider.
Room descriptions, photographs, amenities, classifications and other hotel information may originate from suppliers or accommodation providers.
Trivnix will use commercially reasonable efforts to maintain accurate information but cannot guarantee that supplier-provided descriptive content will always be complete or free from error.
Cancellation and amendment conditions displayed at the time of booking form part of the reservation.
The Customer must carefully review these conditions before confirming any booking.
Once a cancellation deadline has passed, charges may apply up to 100% of the booking value.
Non-refundable reservations may not be cancelled or amended without charge.
Cancellation of a booking does not guarantee that the same booking, rate or inventory can subsequently be restored.
Any requested amendment remains subject to supplier approval and availability.
Requests including bedding preferences, adjoining rooms, connecting rooms, high or low floors, views, accessibility requirements, early check-in, late check-out or other special arrangements are requests only unless expressly confirmed as guaranteed.
Final acceptance remains subject to the hotel or supplier.
Airline tickets are governed by the applicable airline’s fare conditions, ticketing rules, baggage conditions and refund/exchange policies.
The Customer must review the applicable fare rules before ticket issuance.
Once a ticket has been issued, cancellation, reissue, refund, name correction or amendment may be subject to airline penalties and Trivnix handling charges where applicable.
Trivnix shall not be responsible for airline schedule changes, operational cancellations or other actions outside Trivnix’s reasonable control.
Except where Trivnix expressly states that it is the direct provider of a specific service, Trivnix acts as a travel distributor, intermediary, bedbank, consolidator and/or reservation technology provider between the Customer and independent travel suppliers.
Hotels, airlines, transportation providers, tour operators and other suppliers are independently responsible for delivering their respective services.
To the maximum extent permitted under Egyptian law, Trivnix shall not be responsible for losses arising solely from acts or omissions of independent suppliers that are outside Trivnix’s reasonable control, including:
● hotel operational failures;
● airline delays or cancellations;
● transport delays;
● supplier insolvency;
● accidents;
● injury or illness;
● theft;
● disruption caused by authorities;
● supplier overbooking; or
● failure by an independent supplier to perform its service.
This limitation shall not apply where liability cannot lawfully be excluded or where loss results directly from Trivnix’s fraud, wilful misconduct or other liability that cannot be excluded under Egyptian law.
Trivnix shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including:
● natural disasters;
● epidemics or pandemics;
● war;
● terrorism;
● civil unrest;
● strikes;
● governmental actions;
● border closures;
● aviation restrictions;
● telecommunications failures;
● major technology infrastructure failures; or
● other events qualifying as force majeure under applicable Egyptian law.
Affected obligations shall be addressed in accordance with the applicable booking conditions, supplier rules and Egyptian law.
Customers receiving credit terms or periodic statements must review invoices promptly.
Unless a different period is provided in the applicable commercial agreement, any invoice discrepancy should be notified to Trivnix in writing within five (5) business days after receipt of the invoice.
Notification must identify the disputed booking, invoice and reason for dispute.
The undisputed portion of any invoice remains payable by its due date.
Nothing in this provision eliminates rights that cannot lawfully be waived under applicable Egyptian law.
All intellectual-property rights relating to the Trivnix platform, including its website, software, booking engine, B2B system, mobile applications, APIs, XML interfaces, white-label technology, databases, trademarks, logos, interface designs, documentation and proprietary technology belong to Trivnix or its licensors.
No Customer may copy, modify, reverse engineer, reproduce, redistribute, resell or otherwise exploit Trivnix technology except where expressly authorized under a written agreement.
Customers granted API access must comply with technical documentation, usage limits, security standards and commercial rules communicated by Trivnix.
Trivnix may temporarily restrict API access where necessary to maintain platform security, prevent abuse, perform maintenance, protect system stability or comply with legal or regulatory obligations.
Each party shall process personal data in accordance with applicable Egyptian data-protection legislation and other mandatory laws applicable to the relevant processing activity.
Where Customer data includes traveller information, the Customer confirms that it has a lawful basis to provide such information to Trivnix and relevant travel suppliers for the purpose of completing and servicing the reservation.
Trivnix may share necessary traveller information with hotels, airlines, suppliers, payment processors and technology providers to the extent reasonably necessary to fulfil a booking or legal obligation.
Trivnix shall use commercially reasonable administrative and technical security measures designed to protect information processed through its systems.
Customers remain responsible for securing their own devices, networks, integrations, account credentials and API keys.
Trivnix may suspend an account or restrict booking functionality where:
● amounts remain overdue;
● suspected fraud occurs;
● misuse of the platform is detected;
● the Customer materially breaches these Terms;
● account activity creates significant financial or security risk; or
● suspension is required by law.
Where reasonably possible, Trivnix shall provide notice of material account suspension.
Either party may terminate its commercial relationship subject to any written agreement between the parties.
Termination shall not affect existing payment obligations, confirmed bookings, accrued rights, unresolved disputes or provisions intended to survive termination.
The parties shall first attempt in good faith to resolve any disagreement, claim or dispute through direct commercial negotiations.
A party shall provide written notice describing the dispute and supporting information.
The parties should attempt to resolve the matter within thirty (30) days after receipt of the dispute notice before commencing formal proceedings, except where urgent interim relief is required.
These Terms and Conditions, together with every contractual relationship arising from or connected with use of the Trivnix platform, shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles that would require the application of another jurisdiction’s law.
Any dispute, controversy or claim arising out of or relating to these Terms, any booking made through Trivnix, or the commercial relationship between Trivnix and the Customer, including any question concerning the existence, validity, interpretation, performance, breach or termination thereof, which cannot be resolved amicably, shall be finally settled by arbitration.
The arbitration shall be administered by the Cairo Regional Centre for International Commercial Arbitration (CRCICA) in accordance with its Arbitration Rules in force when the arbitration is commenced.
The parties agree that:
● Seat and legal place of arbitration: Cairo, Arab Republic of Egypt;
● Governing substantive law: Laws of the Arab Republic of Egypt;
● Number of arbitrators: One (1), unless the parties agree otherwise or the applicable CRCICA Rules require otherwise;
● Language: English, unless otherwise agreed by the parties;
● Arbitration law: Egyptian Arbitration Law No. 27 of 1994, as amended or replaced from time to time.
The arbitral award shall be final and binding upon the parties.
Nothing in this provision prevents either party from seeking urgent interim or conservatory relief from a competent court where permitted by applicable law.
The Customer agrees that communications, confirmations, invoices, notices, vouchers and contractual information may be delivered electronically through the Trivnix platform, registered email addresses, API transmission, account notifications or other agreed electronic channels.
Electronic records generated by Trivnix may be relied upon as evidence of transactions subject to applicable Egyptian law.
Trivnix may amend these Terms from time to time to reflect changes in law, supplier requirements, technology developments, security requirements, new services or changes to business operations.
Material changes shall be communicated or published through the Trivnix platform.
Continued use after the effective date of amended Terms constitutes acceptance to the extent permitted under applicable law.
Existing confirmed bookings shall remain subject to the conditions applicable when they were made unless mandatory law requires otherwise.
If any provision of these Terms is declared invalid, unlawful or unenforceable by a competent court or arbitral tribunal, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.
The remaining provisions shall continue in full force and effect.
Failure by Trivnix to enforce a contractual right on one occasion shall not constitute a permanent waiver of that right.
These Terms, together with booking-specific conditions, supplier rules, credit agreements, API agreements, commercial agreements and other written agreements expressly incorporated between Trivnix and the Customer, constitute the contractual framework between the parties regarding the relevant services.
Where a separately executed written commercial agreement conflicts with these general Terms, the specific written commercial agreement shall prevail to the extent of the conflict.
